Terms of service

These terms apply to your use of shortlistmemo.com and to any research you order from Shortlist. Shortlist is operated by Shortlist Memo LLC, a Wyoming limited liability company (“Shortlist,” “we,” “us”). By ordering, you agree to these terms.
1. What we provide
Shortlist builds custom acquisition research to a buy box you give us: a named target sheet, a borderline appendix and a short cover memo, together with owner or principal information where the public record supports it. The research is built from public records and the public web only. We don't use login-walled sources or paid people-data, and we don't invent contact details.
2. Ordering and scope
You order by emailing your buy box to [email protected]. Before any work begins, we confirm in writing by email what the package will cover, the price and the delivery timing. That scope confirmation forms part of these terms. If it conflicts with these terms, the scope confirmation controls for that order.
3. Price and payment
The standard price is $2,000 (USD) per buy box, unless a different price is agreed in the scope confirmation. Once scope is confirmed by email, we send a secure Stripe invoice, payable by card or ACH bank transfer. Work starts when the invoice is paid, and our refund and cancellation policy applies. All prices are in U.S. dollars.
4. Delivery
We deliver by email to the address you ordered from, within three business days once scope is confirmed and the invoice is paid, unless the scope confirmation states otherwise. The package is sent as a target sheet (Excel or CSV) and a cover memo (PDF).
5. Refunds and revisions
Cancellations, refunds and revisions are covered by our refund and cancellation policy.
6. Public data and accuracy
Every row cites the public sources behind it. Public records can be incomplete, out of date or wrong, and details such as licenses, officers and contact paths change over time. Size bands are estimates and titles are signals, and we label them that way. We don't guarantee that any public record is accurate or complete. Verify anything you rely on before you act on it.
7. No investment, legal or financial advice
Our deliverables are research only. They are not investment, legal, tax or financial advice, and they are not a recommendation to buy, sell or invest in any business or security. We are not a broker, broker-dealer or investment adviser. You are responsible for your own diligence and decisions.
8. Your use and compliance
You are responsible for how you use our deliverables, including any outreach to the businesses or people named in them. You agree to comply with all laws and rules that apply to that outreach, such as email, telemarketing, do-not-call and privacy laws, and the rules of any platform you use. You may not use our deliverables for unlawful purposes or harassment.
9. License to use deliverables
Once paid for, deliverables are licensed to you for use in your own acquisition search and your deal team's work on it. Please don't resell or publish them. The sample dossiers on this site are provided for evaluation.
10. Confidentiality
We don't publish or share your buy box or your deliverable with anyone else, and we don't name clients.
11. Disclaimer and limitation of liability
Except as stated in these terms and in the refund policy, the website and deliverables are provided “as is.” To the fullest extent permitted by law, our total liability for any claim relating to the website or a package is limited to the fees you paid us for the package that gave rise to the claim. We are not liable for indirect, incidental, special or consequential damages, or for lost profits or lost deals.
12. Governing law
These terms are governed by the laws of the State of Wyoming, without regard to its conflict-of-law rules. Any dispute will be resolved in the state or federal courts located in Wyoming.
13. Changes
We may update these terms from time to time. The version posted when you place an order applies to that order.
